Digital Content Marketplace Intermediation Agreement

1. Roles
For third-party items, the product page expressly identifies the seller as the independent trader and supplier of the digital content. Lajkto operates the marketplace, technical delivery, order records, collection of Lajkto credits and payout administration.
2. Commission
The platform receives no more than 30% of each completed sale and the seller receives at least 70%. Admin may lower an individual rate but may not raise it above 30% without a new agreement. The operator's own items have a 0% internal commission. Settlements may be reduced by refunds, fraud, chargebacks, legally required withholding and documented costs.
3. Taxes, VAT and documents
The seller is independently responsible for registration, declaration and payment of the seller's income tax and other obligations in the seller's tax residence. The seller supplies accurate tax data and issues documents where the applicable supply model makes the seller responsible for them. This clause does not transfer duties imposed directly on the platform. For electronically supplied services, the platform may, depending on the actual sales arrangement, be treated for VAT as the supplier or as acting in its own name; the platform may therefore apply a different invoicing, record-keeping, tax or withholding workflow following professional review and mandatory law.
4. Reporting and verification
The platform may collect, verify, retain and disclose identity, tax, bank and transaction information where required by the DSA, tax or accounting law, or a lawful authority order. The seller export is a working accounting dataset, not by itself a DAC7 filing. Standalone digital downloads are not automatically a DAC7 “sale of goods”, because that definition concerns tangible property; reporting scope must be assessed against the marketplace's actual categories and services.
5. Content and licences
The seller warrants sufficient rights, no malware or unlawful content, and will provide the advertised licence, documentation and reasonable support.
6. Consumers
The seller accepts the platform's digital-content, complaint and refund rules. The platform may issue a refund without prior seller approval where required by law, a payment-provider decision, a proven defect or non-delivery.
7. Payouts
Earnings become available after the reserve period and minimum threshold. Accurate bank and tax data are required. Requests and approvals are recorded in the system, while the operator performs the actual bank transfer manually. A payout does not transfer the seller's tax obligations to the platform.
8. Trader verification
The seller provides truthful name, address, telephone, email, identification evidence, payment account, registration and a self-certification that listings comply with applicable law. Changes must be reported promptly. The platform performs proportionate checks and may request further evidence.
9. Ranking, moderation and termination
Default ranking considers manually featured items, sales and recency. Search additionally considers matches in title, description and features; users can choose newest, bestselling, rating or price order. The base version contains no paid ranking advantage. The platform may suspend an item or account for rule breaches, legal risk, fraud or unresolved complaints and record a reasoned decision.
10. Electronic conclusion
The acceptance checkbox and handwritten electronic signature confirm acceptance of this exact text. The record includes time, IP address, account and a cryptographic document hash. The agreement becomes effective after countersignature by the operator.
